About these terms
By using wixspecialist.com or entering into an engagement with us, you agree to these terms. Where a written, signed agreement exists between us, that agreement prevails over anything below.
Engagements
Engagements are governed by an MSA + a Statement of Work that defines scope, deliverables, timeline, and fees. Both are signed before work starts. Changes to scope are scoped, costed, and signed separately as a Change Order.
Payment
Default schedule: 40% at kickoff, 40% at design sign-off, 20% at launch. Retainers are billed monthly in advance. Invoices are due within 14 days; late payments accrue 1.5% per month or the maximum permitted by law, whichever is lower.
Intellectual property
Upon final payment, all deliverables we create specifically for you transfer to you. We retain ownership of pre-existing components, tools, and design systems used to deliver the work, and the right to reference the work in our portfolio.
Confidentiality
We treat all non-public information shared during an engagement as confidential. We are happy to sign an NDA before kickoff.
Warranties & liability
We will perform with reasonable skill and care. Beyond that, all deliverables are provided "as is" to the maximum extent permitted by law. Our total liability is capped at the fees paid for the engagement giving rise to the claim. We are not liable for indirect or consequential losses.
Termination
Either party may terminate for material breach not cured within 14 days of written notice. You pay for work completed up to the date of termination plus a 20% wind-down charge to cover wrap and handover.
Governing law
These terms are governed by the laws of the studio's principal place of business. Disputes will first be resolved through good-faith negotiation, then mediation, then the competent courts.
Acceptable use of this website
Don't try to break the site, exfiltrate data, impersonate someone, or do anything illegal. We reserve the right to refuse service.
